Law essentials for engineers to know (Part 2)

The Internet is a vast technology that has broadened any boundaries that have been known to mankind to this day. The following paragraphs explore the different rules associated with the Internet.

Security Regulations

Investors, financial service providers, and issuers of securities can all benefit from using the Internet. However, it also poses significant obstacles for regulators looking to safeguard investors and the integrity of capital markets as well as securities market players looking to guarantee that their Internet activities conform with applicable laws. The guiding principle is that securities laws apply to Internet activities in the same way that they do to conventional media, notwithstanding the fact that regulators have published principles and recommendations about their application to Internet operations.

The Website

A good contract for the creation, implementation and upkeep of a website is advised to minimize risk for all parties, as with any commercial project. Website designers typically start by determining the goals of the website, then design and plan the website, construct the website, get client feedback, and lastly launch the finished product. However, the developer’s job is not finished here because someone needs to keep the website current in order to minimize issues brought on by out-of-date information. Furthermore, continual technical assistance is crucial because of the amount of business that can be lost as a result of a malfunctioning website.

Security and Privacy

Internet activities are covered by the privacy laws outlined in Chapter 26, including PIPEDA. The gathering, usage, and dissemination of personal data online raise serious privacy and confidentiality concerns. Due to the computerized collection and speedy transmission of personal information in e-commerce, these laws are particularly crucial. By clicking a button, online shoppers must consent to business policies for the use of their personal information, but most of them do so without reading the lengthy language. Clear corporate rules that adhere to applicable privacy laws are a need.

Communications System Risk Management

There are considerable legal and business dangers associated with modern communications technology. Misuse of communications systems can have a negative impact on production and profitability, incur large additional costs, and lead to expensive litigation and severe financial obligations. The use of the Internet, intranets, extranets, email, and voice mail should all be governed by a written communications system policy (CSP), which every business should develop and apply in order to meet these problems. A CSP should outline appropriate uses of communications technology and educate staff, subcontractors, and other system users about risks and liabilities.

Electronic Contracts

Traditional contract law concepts, such as those governing contract formation, offer and acceptance, and formalities like signatures and proof, are particularly challenged by electronic contracts. By passing regulations governing internet trade and electronic evidence, Canadian lawmakers have responded to these problems. These laws generally follow the Uniform Electronic Commerce Act and specify how legal requirements, such as those for the formation of legally binding contracts, may be satisfied through electronic contracts. These laws offer a foundation for lawmakers, courts, and private parties who must establish regulations for their electronic contracts. Even while electronic commerce regulations don’t address every problem related to electronic contracts, they do offer clarity regarding the laws governing their creation, fulfillment, and enforcement in Canada.

Terms and Conditions

The validity and enforceability of contracts made over the Internet have also been confirmed by Canadian courts. This includes the “I Agree” buttons found on properly made websites. In this instance, the offer is being made by computer software, which acts as the offeror’s electronic agent and is thought to be just as effective as a human agent. This electronic communication’s time of delivery is the moment the message enters a computer system outside of the sender’s control, and its time of receipt is the moment it enters a computer system that the recipient can access. However, parties are permitted to specify their own guidelines in a contract regarding the timing of electronic communications. In “notice and acceptance by conduct” agreements, users are advised that by taking particular actions, including browsing a website or installing software, they are presumed to have accepted the agreement. Standard-form electronic contracts can also be used in this way. However, in order to be upheld, these agreements must be explicit and unambiguous.

Legitimacy

Electronic contracts’ unusual or burdensome conditions are not enforceable unless they have been made clear to the user, just like in traditional, unsigned standard-form contracts. Online contracting parties should additionally confirm the legitimacy of electronic communications as well as the parties’ power, ability, and identity. To lessen those dangers, technological and practical methods like verified and secure electronic signatures, cryptography, passwords, and personal identification numbers may be implemented. Some businesses combine these technical safeguards with more conventional verification methods, like telephone confirmation, the transmission of signed and witnessed paper contracts by facsimile, or credit card validation. When a business can’t completely eliminate identity, capacity, and authority risks, it can deal with the remaining risks through contractual risk allocation and insurance.
